Terms of Service
Terms and conditions for MFM Studio website design and build services. Last updated January 2025.
These terms ("Terms") govern the use of MFM Studio's ("we", "us", "our") services. By engaging us or using our services, you ("you", "client") agree to these Terms.
1. Services
We provide website design, build, hosting, maintenance, and related digital services. Specific deliverables, timelines, and fees are agreed in writing (email or quotation). Our standard packages and pricing are described on our website and may be updated from time to time.
2. Quotations and acceptance
Quotations are valid for 30 days unless otherwise stated. A project begins once you accept the quotation in writing and pay any required deposit. Acceptance may be by email, signed agreement, or payment of the deposit.
3. Payment
Payment terms are as set out in the quotation. Typically we require a deposit (e.g. 50%) before work begins, with the balance due on completion or as staged. Invoices are due within 14 days unless otherwise agreed. Late payment may attract interest at 8% above the Bank of England base rate and may result in suspension of services. All fees are in GBP unless stated.
4. Delivery and timelines
We aim to meet agreed timelines. Delivery depends on you providing content, feedback, and approvals promptly. Delays caused by you may extend the schedule. We will keep you informed of progress and any issues. Launch dates are estimates unless explicitly agreed as fixed.
5. Your content and responsibilities
You are responsible for:
- Providing accurate content, images, and materials
- Ensuring you have rights to all content you supply
- Approving designs and content at agreed stages
- Providing access to hosting, domains, and third-party services when needed
We are not responsible for content you provide. You indemnify us against claims arising from your content or breach of these Terms.
6. Intellectual property
Once full payment is received, you own the final website design and content created specifically for your project. We retain rights to:
- Our own tools, code libraries, templates, and pre-existing materials
- Our brand and marketing materials
We may use anonymised project examples in our portfolio unless you ask us not to in writing.
7. Hosting and domains
Where we arrange hosting or domain registration, we may do so in your name or ours. Ownership of domains is as agreed. Hosting fees are typically annual and paid in advance. If hosting is transferred to you, you become responsible for renewals. If hosting remains with us and you stop paying, we may suspend or remove the site.
8. Revisions and scope
Quotations include a stated number of revision rounds. Additional revisions or scope changes may incur extra fees. We will agree these in writing before proceeding.
9. Limitation of liability
Our liability for any claim (whether in contract, tort, or otherwise) is limited to the fees you have paid us for the relevant project in the 12 months before the claim arose. We are not liable for indirect, consequential, or special losses (including loss of profit, data, or business). Nothing in these Terms excludes liability for death, personal injury, or fraud.
10. Cancellation and termination
You may cancel before work begins; any deposit paid may be refundable minus costs incurred. Once work has started, cancellation may incur charges for work completed. We may terminate if you breach these Terms, fail to pay, or fail to cooperate reasonably. On termination, you pay for work done; we will hand over what has been completed where practicable.
11. Warranties
We warrant that we will perform services with reasonable skill and care. We do not warrant that the website will be uninterrupted, error-free, or secure. We will correct defects caused by our work during a reasonable warranty period (e.g. 30 days post-launch) provided you notify us promptly.
12. Third-party services
We may use third-party services (hosting, forms, analytics, etc.). Their terms apply to those services. We are not responsible for third-party downtime, data handling, or policy changes, but we will use reputable providers and assist where we can.
13. Confidentiality
We will keep your business information confidential except where required by law or where disclosure is necessary to perform the services (e.g. to hosting or domain providers).
14. Governing law
These Terms are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Changes
We may update these Terms from time to time. The "Last updated" date will change. Continued use of our services after changes constitutes acceptance. For new projects, the Terms in force at the time of quotation apply unless otherwise agreed.
